As our new Corporate Paralegal (Deputy Company Secretary) you will coordinate with the Head of Corporate in the ICL EU Legal and Compliance team to support the boards of 60+ legal entities in Europe and manage the corporate housekeeping.
You will also maintain ICLs legal entity management system (Legisway) and assist in internal group transactions.
About the position
You will assist in educating the boards to prepare and hold board meetings in line with good corporate governance standards.
You will attend and minute these meetings to ensure compliance with applicable laws and governance documents. Together with the Head of Corporate and the respective boards you will be responsible for the corporate housekeeping of 60+ entities across Europe, to ensure good legal standing.
For example, you will draft corporate resolutions and corporate authorizations (proxies) and take care filings with trade registers.
Also, you'll work with the finance team to arrange for the formal approval of group entity annual accounts, drafting dividend resolutions, and ad hoc corporate transactions.
In these transactions you will be responsible to ensure completion and execution of transaction documentation and related deliverables in a timely manner, maintain action- and checklists and project steps plans, lead periodic update calls, and maintain the transaction dossiers.
To be successful in this role, you will need to bring organizational and project management skills, such as keeping track of progress via action lists, managing the required documentation for corporate projects, proactively gathering information from people of various levels of seniority and filing documents in an orderly manner.
This role will allow you to build on these skills and familiarize yourself with the business by attending and minuting board meetings at different levels and locations in the organization.
Working and thinking ability minimum at HBO level.
Experience with Legisway is a plus
